These Terms of Service (“Terms”) govern your access to and use of the website located at https://rcigr.com/ and its related webpages (collectively, the “Site”). The Site is owned and operated by Resource Communications Inc. (“RCI,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
If you access the Site on behalf of a company or another organization, you represent that you have authority to bind that organization to these Terms.
1. About the Site
RCI provides custom packaging, retail displays, print, design, promotional products, sourcing, logistics and related business-to-business services.
The Site is primarily an informational, portfolio and lead-generation resource describing our capabilities, experience and selected work. Content on the Site does not constitute a binding offer, quotation, guarantee or commitment to provide any particular product, service, price, production schedule or delivery date.
2. Quotes, Orders and Customer Agreements
Requests submitted through the Site are requests for information or quotations and do not create a binding contract or require either party to proceed with a transaction.
Products and services supplied by RCI may be governed by a separate quotation, proposal, estimate, order confirmation, purchase agreement, statement of work, credit agreement or other written agreement. If one of those documents conflicts with these Terms, the terms of the applicable signed or accepted transaction document will control for that transaction.
Customer purchase-order terms do not modify or replace RCI’s terms unless RCI expressly agrees to the modification in writing.
Prices, quantities, specifications, production methods, setup charges, freight costs, timelines and availability are subject to confirmation before an order is accepted.
Purchases made through https://shop.rcigr.com/ are also governed by the terms, shipping policy, return policy and other conditions displayed within that online store.
3. Contact Forms and Other Submissions
The Site may allow you to submit your name, company information, email address, telephone number, project details, artwork, specifications or other information.
By submitting information through the Site, you represent that:
The information is accurate to the best of your knowledge.
You have the right to provide the information and any included files or materials.
Your submission does not violate any law or infringe another party’s rights.
RCI may use the submission to evaluate your request, communicate with you and provide requested products or services.
Submitting an inquiry does not create a client, fiduciary, partnership or other special relationship.
Unless RCI has signed a separate confidentiality or nondisclosure agreement, information submitted through the Site is not considered confidential. Please do not submit trade secrets or highly sensitive information before appropriate confidentiality arrangements are in place.
4. Customer Artwork and Materials
If you provide artwork, logos, photographs, trademarks, specifications or other materials, you represent that you own them or have all permissions necessary for RCI to review and use them for the requested project.
You grant RCI and its production partners a limited, nonexclusive license to reproduce, modify, transmit and use those materials solely as reasonably necessary to evaluate, quote, design, proof, manufacture, deliver or support the requested products or services.
You remain responsible for reviewing and approving proofs, specifications, spelling, dimensions, colors, placement and other project details before production.
5. Intellectual Property
Unless otherwise stated, the Site and its original content—including its design, layout, text, graphics, photographs, videos, illustrations, logos, icons, software and other materials—are owned by RCI or used with permission and are protected by intellectual-property laws.
RCI grants you a limited, revocable, nonexclusive and nontransferable right to access and use the Site for lawful informational and business purposes.
You may not reproduce, distribute, publish, sell, license, modify, create derivative works from, commercially exploit or publicly display Site content without prior written permission from RCI or the applicable rights holder.
The RCI name, logos, slogans and related branding may not be used without our prior written permission.
6. Customer and Third-Party Brands
The Site may display customer names, products, photographs, trademarks, logos or other third-party materials as examples of work, industry experience or project capabilities.
All third-party names, trademarks and logos remain the property of their respective owners. Their appearance on the Site does not imply endorsement, sponsorship or affiliation unless expressly stated.
7. Acceptable Use
You agree to use the Site only for lawful purposes. You may not:
Attempt to gain unauthorized access to the Site, its servers, accounts or connected systems.
Introduce viruses, malware, harmful code or other disruptive technology.
Interfere with the Site’s availability, security or normal operation.
Use the Site to engage in fraud, impersonation, harassment or unlawful activity.
Submit false, misleading, abusive or infringing information.
Scrape, crawl, harvest or systematically extract Site content or data without written permission, except through generally available search-engine indexing conducted in accordance with applicable technical instructions.
Circumvent security features, access controls or usage restrictions.
Use Site content to compete with RCI or misrepresent an association with RCI.
Violate the intellectual-property, privacy or other legal rights of RCI or another party.
We may restrict or terminate access to the Site if we reasonably believe these Terms have been violated.
8. Accuracy and Availability
We work to keep Site content accurate and current, but information may occasionally contain errors, omissions or outdated details.
Product images, renderings, mockups, dimensions, colors, materials, specifications, capabilities, pricing, production times and availability shown on the Site are illustrative unless confirmed in a written quotation or agreement.
Screen colors and digital representations may differ from physical materials and finished products. Manufacturing tolerances and reasonable production variations may apply.
We may modify, suspend or discontinue any portion of the Site or its content at any time without notice.
9. Testimonials, Examples and Results
Testimonials, case studies, photographs and project examples describe individual experiences or completed work. They do not guarantee that another customer or project will achieve identical results.
Any performance, sustainability, durability or product-use claim should be evaluated based on the specific product, materials, intended use and applicable written specifications.
10. Third-Party Websites and Services
The Site may include links to third-party websites, social-media platforms, embedded content, applications or services.
RCI does not control and is not responsible for the availability, security, accuracy, content, products, policies or practices of third parties. Accessing a third-party service is at your own discretion and may be subject to separate terms and privacy policies.
A link does not necessarily indicate that RCI endorses or is affiliated with the linked party.

12. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.
RCI DISCLAIMS ALL IMPLIED WARRANTIES RELATING TO THE SITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY AND SECURITY.
RCI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE FROM HARMFUL COMPONENTS, OR THAT ALL CONTENT WILL ALWAYS BE COMPLETE OR CURRENT.
These disclaimers apply to the Site itself. Any warranties applicable to products or services purchased from RCI will be governed by the applicable quotation, order confirmation or written agreement.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RCI AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, SUPPLIERS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO:
Your access to or use of the Site.
Your inability to access or use the Site.
Your reliance on Site content.
Unauthorized access to or alteration of your submissions.
Third-party websites, services or content.
Any other matter relating to the Site.
This exclusion includes, where legally permitted, damages for lost profits, lost revenue, lost business opportunities, loss of data, business interruption or reputational harm, even if RCI has been advised that such damages may occur.
TO THE FULLEST EXTENT PERMITTED BY LAW, RCI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SITE WILL NOT EXCEED THE GREATER OF:
One hundred U.S. dollars ($100); or
The amount you paid directly to RCI specifically for access to or use of the Site during the 12 months preceding the event giving rise to the claim.
Because access to the Site is generally provided without charge, the first amount will ordinarily apply.
Some jurisdictions do not allow certain warranty exclusions or limitations of liability. In those jurisdictions, these provisions will apply only to the maximum extent permitted by law.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
14. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless RCI and its owners, officers, employees, contractors, representatives and service providers from claims, damages, liabilities, losses, judgments, costs and reasonable attorneys’ fees arising from or relating to:
Your unlawful or unauthorized use of the Site.
Your violation of these Terms.
Information, artwork or other materials you submit.
Your infringement or violation of another party’s rights.
Fraudulent, abusive or harmful conduct associated with your use of the Site.
RCI reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate reasonably with that defense.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
Any legal action arising solely from the use of this Site must be brought in a state or federal court with appropriate jurisdiction in Kent County, Michigan. You consent to the personal jurisdiction and venue of those courts.
This section does not replace any governing-law, dispute-resolution or venue provision contained in a separate agreement between you and RCI.
16. Changes to the Site or Terms
We may update these Terms periodically. Updated Terms will be posted on this page with a revised “Last Updated” date.
Changes apply prospectively from the date they are posted unless applicable law requires otherwise. Your continued use of the Site after updated Terms become effective constitutes acceptance of those changes.
17. Severability
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed from the Terms.
The remaining provisions will remain in full force and effect.
18. No Waiver
RCI’s failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision later.
19. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and RCI concerning use of the Site.
They do not replace or amend a separate quotation, order confirmation, purchase agreement, statement of work, confidentiality agreement or other written agreement governing a particular customer relationship or transaction.
